This End-User Licence Agreement ("EULA") is a legal contract between you ("you", "licensee") and Monospace ("we", "us", "licensor") governing your use of the Monospace software and all related applications, browser extensions, APIs, and components (collectively, the "Software").
By creating an account, installing, accessing, or using the Software you accept this EULA in full. If you do not accept, do not install or use the Software.
This EULA does not replace our Terms of Service or Privacy Policy. The three documents work together: Terms govern the service, the Privacy Policy governs personal data, and this EULA governs the software licence.
Subject to your compliance with this EULA and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software for your personal or internal business purposes.
If you access the Software through an organisation's subscription, the licence is granted to you as an authorised user of that organisation for the duration of your membership.

The Software and all copies thereof are licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all associated copyrights, trademarks, patents, trade secrets, and other intellectual property rights. This EULA grants you no ownership rights and no rights other than those expressly set forth here.
The Monospace name, logo, design system, source code, and architecture are proprietary. You must not use our branding or imply endorsement without prior written consent.
Your content is yours.
This EULA only covers the Software itself. Content you create inside the Software (boards, tasks, notes, files, messages, etc.) remains your property under the terms set out in our Terms of Service. We never claim ownership of your content and we do not use it to train AI models.
We may release updates, patches, new features, bug fixes, and security improvements to the Software at any time. Updates are delivered automatically to the hosted Software. For the browser extension, updates are delivered via the browser's extension store.
We may add, change, or remove features from the Software. Where a material change is likely to affect your use, we will give reasonable notice. Your continued use after a change takes effect constitutes acceptance of the updated Software.
The Software includes open-source and third-party components. Those components are licensed to you under their own licences (such as the MIT licence, Apache 2.0, or similar), which take precedence over this EULA solely in respect of those components. A list of notable components and their licences is available on request.
The Software integrates with external services (for example, GitHub, Vercel, Clerk, Resend, AI providers). Your use of those services is governed by their own terms, and we are not responsible for their availability, accuracy, or policies.
We process your data in accordance with our Privacy Policy. For business or professional use where Monospace processes personal data on behalf of your organisation, see our Data Processing Agreement.
You are responsible for maintaining your own backups of any data you consider critical, and for ensuring you have the right to upload content to the Software.
This EULA takes effect when you first access the Software and continues until terminated by you or by us.
You may terminate this EULA at any time by deleting your account and ceasing to use the Software.
We may suspend or terminate the licence granted under this EULA immediately if you materially breach this EULA, the Terms of Service, or any applicable law.
Upon termination, all rights granted under this EULA end. Sections that by their nature should survive termination (ownership, liability, governing law) will continue to apply.
The Software is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Software will be uninterrupted, error-free, or secure, nor that defects will be corrected.
AI-generated outputs (assistant responses, code suggestions, summaries) are provided for convenience and must be reviewed by you before use. We make no warranty as to their accuracy, completeness, or suitability.
To the maximum extent permitted by law, in no event shall Monospace, its officers, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the Software.
Our total cumulative liability under or in connection with this EULA shall not exceed the greater of (a) the fees you paid to Monospace in the 12 months preceding the event giving rise to the claim, or (b) £100.
Nothing in this EULA excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be excluded under applicable law.
This EULA is governed by and construed in accordance with the laws of England and Wales. The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute arising out of or in connection with this EULA.
We may update this EULA from time to time to reflect new features, legal requirements, or business practices. For material changes we will provide at least 30 days' notice via email or an in-app notice. Your continued use of the Software after changes take effect constitutes acceptance of the revised EULA.
If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
